The corporate bonds of Eurocash S.A. were issued in 2021 and introduced to trading in the ASO Catalyst operated by the Warsaw Stock Exchange.
Bonds – Series B
Corporate bonds of Eurocash S.A. are issued under up to PLN 1,000,000,000 bond issue programme, established in cooperation with BNP Paribas Bank Polska S.A., Powszechna Kasa Oszczędności Bank Polski S.A. and Santander Bank Polska S.A. The programme involves multiple bond issues in accordance with the terms and conditions of the bond issue established for each series. The maturity of bonds issued under the programme may not exceed 10 years. Bonds may be offered in the manner specified in Article 33(1) of the Bond Act of 15 January 2015, i.e., by means of a public offering of securities within the meaning of Regulation (EU) 2017/1129 of the European Parliament and of the Council on the prospectus and by means of a public offering within the meaning of the Public Offering Act of 29 July 2005.
Bond issue principles
Bonds may be issued only to the extent that they enjoy an exemption from the obligation to publish a prospectus, including, in particular, Article 1(4)(a) of Regulation (EU) 2017/1129 of the European Parliament and of the Council on the prospectus, i.e., by offering Bonds exclusively to qualified investors. In special cases: with respect to (i) bonds with a maturity of 12 months or less; or (ii) bonds with a maturity of more than 12 months offered exclusively to a single investor, such bonds may be offered in the manner specified in Article 33(2) of the Bond Act.
